INTRODUCTION
You are welcome to the Prohood, a startup project that helps today’s and tomorrow’s professionals in many fields make self-paced learning more efficient and find work that is most likely to contribute to a better life on Earth.
Where you read ”Prohood” or ”we” or ”us” or “Site” below, it refers to web pages hosted under https://prohood.org domain (including all subdomains) and operated by a self-employed individual Vitalii Kozlo.
These Terms of Service, along with Privacy Policy form an entire legal agreement (“Agreement” or “Terms”) between:
- you, and
- us, Prohood
Simply put, they are rules and conditions you agree to when using the Site. By registering an account on the Site, you accept Terms and agree to be legally bound by them.
DEFINITIONS
Prohood – a self-employed individual Vitalii Kozlo, registration address: Ukraine, Kyiv, str. Borschahivska, building 148.
Site – https://prohood.org.
Service – a set of services for collecting and summarizing information on request, consulting, data processing, posting information on websites and related activities and web portal services provided by Prohood using the capabilities of the Internet network.
Visitor – a person who visits the Site and does not intend to receive the Services.
Recruiter – an individual entrepreneur or a legal entity (company or organization) that accepts the terms of the Terms of Service and wishes to receive the Services on the https://prohood.org website.
User – a person, who visits the Site, created a profile and posted his/her own resume on the website https://prohood.org in order to obtain Services for his/her own needs and/or a person, who visits the Site without creating a profile in order to obtain Services for his/her own needs.
User’s profile – a part of the functionality of the Site, which allows a User to register, post their own information and materials for the purpose of receiving Services.
GENERAL CONDITIONS
Prohood provides Services by posting information and materials of Users and Recruiters at https://prohood.org.
When ordering Services through the Site, the User and the Recruiter agree to these Terms, which are set forth below. In the absence of consent, the User and/or Recruiter must immediately stop using the Site.
These Terms, as well as information about the Services provided on the Site, is a public offer in accordance with Art. 633 of the Civil Code of Ukraine.
These Terms may be modified by Prohood at its sole discretion with an advanced notice to the Recruiter/User. The new version of the Terms enters into force from the moment of its publication on the Site, unless otherwise provided.
The Terms come into force from the moment of confirmation by the Recruiter/User of registration on the Site by means of electronic confirmation.
By notifying Prohood of your email and name, you consent to the use of the specified means of communication by Prohood, as well as by third parties involved in order to fulfill obligations to the Recruiter/User, by informing regarding the Services, as well as other information directly related to the Services.
SUBJECT OF THE TERMS
The subject of the Terms is a set of services that include collecting and summarizing of information on request, consulting, data processing, posting of information on web sites and related activities and services of web portals for the Recruiters/Users, provided by Prohood at the web address https://prohood.org.
This Agreement applies to all types of Services listed on the Site, as long as such offers and descriptions are present in the catalog of the Prohood Site.
SERVICES AND CONDITIONS OF ITS PROVISION
Prohood provides the possibility of receiving the Services listed on the Site. The description and characteristics of the Services provided on the Site may not contain comprehensive information and may contain inconsistencies. In order to clarify information regarding the Services, the Recruiter/User should contact Prohood in the manner indicated below.
The Recruiter/User bears full responsibility for providing incorrect data, which caused the impossibility of Prohood fulfilling its obligations under the Terms.
Applications of the Recruiter/User are to be processed in accordance with the procedures indicated on the Site.
SERVICES ELIGIBILITY
Age Requirements
Services are available only to and may only be used by individuals who are 18 years and older and who can form legally binding contracts under applicable law. Individuals under the age of 18 but not younger than the age of 16 can use our Services only (a) if they have a full legal capacity to enter into contracts or (b) in conjunction with and under the supervision of a parent or a legal guardian. The parent or the legal guardian shall at all times be responsible for any and all activities related to the use of the Services by the aforementioned individuals. You agree and confirm that you will not allow any individual younger than the age of 16 to use the Services.
International Use
The Site may be accessed from countries other than Ukraine. Currently, we provide Services mainly to Europeans, more specifically to citizens and residents of:
- European Union
- UK
- Iceland
- Liechtenstein
- Norway
- Switzerland
- Ukraine
However, Prohood makes no representation that the Site is appropriate or legally available for use in your jurisdiction, and accessing and using the Site is prohibited from territories where doing so would be illegal. You access the Site at your own initiative and are responsible for compliance with applicable local laws. We do not guarantee that information on the Site will be available in languages other than English.
Some products/services mentioned on the Site may not be available in all parts of the world. Contact Prohood for information on products and services that may be available to you in your area.
Conditions for Providing Services to Recruiters
Prohood provides its services only to Recruiters that meet our eligibility criteria. We reserve the right to reject service requests from companies whose business practices conflict with our mission, as determined at our sole discretion. For more details, see our Help Center article “Who Can Use Prohood as a Recruiter?”.
USE OF THE SITE
In consideration of the availability, and your use, of the Site, you agree to comply with all applicable laws and regulations and these Terms when using the Site. You acknowledge that We may investigate any violations of law and may cooperate with law enforcement authorities in prosecuting users in this regard.
You are prohibited from:
- providing to us (our team) false personal data in the registration form (we just need your First Name, email and a few other details. We don’t ask for a phone number or government-issued ID). However, you may use some random data later to make your public profile anonymous (Site’s feature) as long as you’re not using someone else’s real data;
- have more than 1 registered account with us;
- allow someone else (e.g. a friend or family member) to sign in to their account on the Site using the same browser vendor that you use to sign in;
- transfer access to paid Services to the third parties and make joint buying of the Services;
- distribute, spread in any way all or any part of the materials resulting from the provision of paid Services to the third parties;
- place advertising information in your resumes and posts;
- use profanity, jargon, other words and expressions that may offend other people in the text of resumes and job vacancies;
- post information that contradicts the current legislation of Ukraine, as well as announcements related to the gambling business, ponzi schemes (financial pyramids), crypto opportunities, religious sects, occult and erotic services;
- distribute or otherwise use viruses or other malicious programs;
- carry out illegal collection and processing of personal data of other Users/Visitors;
- to send spam or commercial offers under the guise of feedback on a vacancy.
You are solely responsible for:
- maintaining the confidentiality of your account credentials;
- ensuring that your systems are able to use the Site and it is recommended that you disable all browser extensions that ask for too many permissions and have an up-to-date antivirus (if you are on Windows OS) BEFORE accessing the Site.
Interactions
It is up to you whether you want to connect with a certain User/Recruiter, and you alone bear the risk of any communication, meeting, or other connection with a User/Recruiter. You acknowledge and agree that Prohood is not a party to any communication, meeting or agreement between you and another User/Recruiter, and that we are not liable to you for any loss incurred as the result of a User/Recruiter’s acts or omissions, including without limitation fraud, failure to communicate, conversion, physical injury, mental distress, breach of contract, negligence, and intellectual property violations.
You acknowledge and agree that Prohood does not necessarily have control over the quality, safety, morality or legality of any User/Recruiter or any service(s) they offer you, the truth or accuracy of any User/Recruiter statements, or the ability of User/Recruiter to fulfil their obligations under an agreement with you. Prohood cannot ensure that a User/Recruiter will actually complete a transaction or follow through on their promises.
Prohood cannot guarantee the true identity, age, and nationality of a User/Recruiter.
COMMERCIAL USE OF THE SITE
Prohood’s Services are partially free. Prohood allows Users/Recruiters to access certain premium features in exchange for a recurring fee (a subscription plan). Available subscription plans, their terms and conditions are specified on the Pricing Page at https://prohood.org/pricing and is an integral part of these Terms. By using the Services, the User/Recruiter agrees to the pricing terms in effect at the time of purchase. Prohood reserves the right to update prices and will provide prior notice of any significant changes affecting active subscriptions. Continued use of the Services after a pricing update constitutes acceptance of the new terms.
In the event of failed payment, cancellation of a subscription, or the end of a trial, the paid plans features of the Site will become inactive. The User/Recruiter, who is solely responsible, can cancel their subscription at any time by going to the “Subscriptions” page under their profile menu photo or by sending an email to [email protected].
Free Trial
Prohood may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”). You may be required to enter your billing information in order to sign up for Free Trial. If you enter your billing information when signing up for Free Trial, you will not be charged by Prohood once Free Trial has expired. We believe it is poor practice to charge users automatically after a Free Trial.
The subscription plan for recruiters
As already mentioned, we provide services only to Recruiters that meet our eligibility criteria. A Recruiter must pass a verification to buy the subscription plan for recruiters.
The subscription plan for job seekers
If you want to receive unlimited job/freelance project proposals from recruiters, the subscription plan for a job seeker is required.
Cancellations and Refunds
If you aren’t satisfied with our Service, you can request a full refund within thirty (30) days from the date of purchase. Any refund request after the thirty (30) days period will not be entertained. Note that you may request only 1 (one) refund per year per subscription plan.
You may cancel your subscription any time before the end of the current billing period and the cancellation will take effect immediately and you will not receive a refund or credit for any remaining days in your current billing period (in other words, there are no refunds or credits for partially used subscription periods). Refund requests should be submitted to [email protected]
Once the refund has been processed, the account will be downgraded to the Free plan.
SECURITY AND PRIVACY
Even thought we use the CMS that is secure at its core, we can not guarantee the complete security. However, we have implemented the best practices to ensure your access of the Site and data is secure. Particularly we have:
- chosen a VPS provided by AWS to host Site’s data;
- chosen the server location in Switzerland which ensures more security of user’s data compared to any server located in Ukraine (due to undergoing war);
- enabled automatic security updates of our Linux distribution (Ubuntu) and the CMS that powers the Site;
- enabled protection from brute-force attacks;
- restricted access to wp-json (REST API);
- enabled HTTPS encryption;
- chosen SFTP protocol to transfer backups;
- set up encryption for backups that include personal data and are transferred to Ukraine;
- chosen a trusted open-source password manager to store passwords to the admin areas of the Site and Service Providers;
- enforced the creation of a strong user’s password during an account registration;
- no office in Ukraine, all work is done remotely.
We handle personal data in accordance with GDPR and similar applicable extraterritorial data protection laws. Consult our Privacy Policy available at https://companyinfo.prohood.org/legal/privacy-policy/ to understand how your personal information is collected, used and disclosed by us in connection with your use of the Service.
In short: no phone numbers are required, no Google/Meta tracking technologies, you consent to transfers of your data to Ukraine.
Blocking of IP Addresses
In order to protect the integrity of the Site, Prohood reserves the right at any time in its sole discretion to block users from certain IP addresses from accessing it.
Special Treatment for Spammers
If a User/Recruiter tries to cheat by reaching out to another User/Recruiter via inappropriate “Open to” type and the later reports SPAM for the 1st time, we make a warn to the former user by sending an email and banning for 7 days.
The 2nd report of spam will result in:
- the ban for 30 days.
The 3rd and subsequent reports of spam will result in:
- the ban for 90 days.

Such Content is protected by Ukrainian and worldwide copyright laws and treaty provisions. We grant you a limited non-exclusive, non-transferable license to use and display on your computer or other electronic access device, the Content for your own personal and non-commercial use only, provided that you do not modify the Content and that you maintain all copyright and other proprietary notices. Except as provided herein, you agree not to reproduce, make derivative works of, retransmit, distribute, sell, publish, communicate, broadcast or otherwise make available any of the Content obtained through the Site, including without limitation, by caching, framing or similar means, without the prior written consent of the respective copyright owner of such Content.
The Prohood is the only owner of the information provided on the Site. All texts, images, banners, animation, graphics, logo, music, and any other material associated with the Site are protected by intellectual property and other laws such as Berne Convention for the Protection of Literary and Artistic Works (signed 9 September 1886 at Berne, Switzerland). You must comply with all such laws and applicable copyright, trademark or other legal notices or restrictions. You shall not remove or alter any copyright, trademark, or other legal notices marked on the Content.
Prohood owns its brand name and the trademarks that are available on the Site.
Prohood respects the intellectual property of others and asks that users of our Site do the same. In connection with our Site, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination of users of our online Site who are repeated infringers of intellectual property rights, including copyrights. If you believe that one of our users is, through the use of our Site, unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification must be provided to our email address [email protected]:
- your physical or electronic signature;
- identification of the copyrighted work(s) that you claim to have been infringed;
- identification of the material on our services that you claim is infringing and that you request us to remove;
- sufficient information to permit us to locate such material;
- your address and email address;
- a statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law; and
- a statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner.
Please note that any misrepresentation of material fact in a written notification automatically subjects the complaining party to liability for any damages, costs and attorney’s fees incurred by us in connection with the written notification and allegation of copyright infringement.
SUBMISSION OF IDEAS AND/OR SUGGESTIONS
Prohood is always improving its website and products and services and developing new features. If you have ideas and/or suggestions regarding improvements or additions, we would like to hear them – but any submission will be subject to these Terms & Conditions. UNDER NO CIRCUMSTANCES SHALL ANY DISCLOSURE OF ANY IDEA AND/OR SUGGESTION OR RELATED MATERIAL TO PROHOOD BE SUBJECT TO ANY OBLIGATION OF CONFIDENTIALITY OR EXPECTATION OF COMPENSATION OR ATTRIBUTION TO YOU. BY SUBMITTING THE IDEA AND/OR SUGGESTION OR ANY RELATED MATERIAL TO PROHOOD, YOU ARE WAIVING ANY AND ALL RIGHTS THAT YOU MAY HAVE IN THE IDEA AND/OR SUGGESTION OR ANY RELATED MATERIAL AND ARE REPRESENTING AND WARRANTING TO PROHOOD THAT THE IDEA AND/OR SUGGESTION OR ANY RELATED MATERIAL ARE WHOLLY ORIGINAL WITH YOU, THAT NO ONE ELSE HAS ANY RIGHTS IN THE IDEA AND/OR SUGGESTION OR ANY RELATED MATERIAL AND THAT PROHOOD IS FREE TO IMPLEMENT THE IDEA AND/OR SUGGESTION AND TO USE THE RELATED MATERIAL IF IT SO DESIRES, AS PROVIDED OR AS MODIFIED BY PROHOOD, WITHOUT OBTAINING PERMISSION OR LICENSE FROM ANY THIRD PARTY.

INDEMNIFICATION AND LIMITATION OF LIABILITY
This section will apply to the fullest extent permitted by applicable law. You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
To the fullest extent permitted by applicable law, YOU EXPRESSLY UNDERSTAND AND AGREE THAT IN NO EVENT SHALL PROHOOD, INCLUDING ITS AFFILIATES AND LICENSORS, BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, AND ANY DAMAGES FOR LOSS OF PROFITS, SAVINGS, GOODWILL OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER PROHOOD HAD BEEN ADVISED OF OR COULD HAVE FORESEEN THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH: (A) THE USE, INABILITY TO USE OR PERFORMANCE OF THE SITE, (B) ANY UNAUTHORIZED ACCESS TO OR MODIFICATION TO ANY OF YOUR USER CONTENT, OR (C) ANY OTHER MATTER RELATING TO THE SITE. You expressly acknowledge that Prohood has entered into these Terms & Conditions, and has and will make the Site and Content available to you in reliance upon the limitations and exclusions of liability and the disclaimers set forth herein, and that the same form an essential basis of the bargain between you and Prohood. You expressly agree that the limitations and exclusions of liability and the disclaimers set forth herein will survive, and continue to apply in the case of, a fundamental breach or breaches, the failure of essential purpose of contract, the failure of any exclusive remedy or termination of this agreement.
GOVERNING LAW/JURISDICTIONAL ISSUES
The Site is controlled, operated and administered by Prohood from Ukraine. These Terms of Service are interpreted and governed by the current legislation of Ukraine without reference to conflict of law principles. Subject to the Arbitration Section below, each party hereby agrees to submit to the jurisdiction of the courts of Ukraine and waive any venue objections. The UN Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
ARBITRATION AND ACTIONS
The Recruiter/User hereby agrees that any claims regarding the quality and quantity of the Services shall be directed to Prohood, including claims regarding the terms of provision of the Services. At the same time, Prohood undertakes to assist Recruiters/Users in resolving their claims.
If it is impossible to resolve such claims, the dispute should be referred to the appropriate judicial authority in accordance with the current legislation of Ukraine.
LEGAL FORCE OF THE TERMS
These Terms of Service enter into force from the moment of its acceptance by the Recruiter/User and are valid until the withdrawal of the corresponding acceptance of the Terms of Service.
TERMINATION
We may terminate or temporary suspend any Recruiter/User who violates these Terms, as deemed appropriate in our sole discretion without a prior notice.
In case Prohood suspends or terminates your account due to the breach of these Terms, you understand and agree that you will not receive a refund or compensation for any unused subscriptions periods, or loss of any content or information associated with your account.
To terminate these Terms, discontinue your use of the Services and provide a termination notice to Prohood or delete your account. As already mentioned, the limitations and exclusions of liability and the disclaimers we have made will survive after the termination.
Inactive accounts
If you haven’t logged into your Prohood account for over 5 years, your account will be suspended. And within the next month, it will be completely deleted with all associated and uploaded data, unless you contact us with a request not to do so.
MISCELLANEOUS
Prohood has the right to assign or otherwise transfer its rights and obligations arising from the legal relationship with the Recruiter/User to third parties.
The Site and other services provided may be temporarily partially or completely unavailable due to preventive or other works, or for any other reasons of a technical nature. Prohood’s technical service has the right to periodically carry out necessary preventive or other works with or without prior notice to Recruiters and/or Users.
If the Recruiter/User has questions and/or claims, he/she/they can contact Prohood in the manner indicated below.
The invalidity of any of the provisions of these Terms by the court does not affect the validity of the remaining provisions.
CHANGES OF THE TERMS
We reserve the right to change the Terms of Service and add more information to it. We are not obligated to notify Users of minor changes applied to the current Terms of Service. This means that users should check this section on their own to learn more. If the changes are significant, we will notify you in advance by an email notification or a prominent notice on the website. If you do not agree with an updated version of these Terms, you have the right to terminate these Terms by discontinuing your use of the Services and providing a termination notice to Prohood or deleting your account. By continuing to use the Service, you will implicitly accept the changes we make. Your access and use of the Service is always subject to the most current version of this document.
